Welcome to Ying Wu. These Terms of Service govern your access to and use of the Ying Wu condominium management platform. By creating an account or using our services, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using Ying Wu, you agree to these Terms of Service and our Privacy Notice. If you do not agree, you may not use the platform. You must be at least 18 years old or have the authorization of a legal guardian or organization to use Ying Wu.

2. Description of Service

Ying Wu provides tools for managing condominiums, properties, residents, assemblies, and related activities. Features may include, but are not limited to:

• User and profile management for condominium residents and staff.
• Property, unit, and assembly records and scheduling.
• Communication and notification features between administrators and residents.
• Role-based Access Control

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or security breach. You must provide accurate and complete information when registering and keep it up to date.

4. Acceptable Use

You agree not to use Ying Wu to:

• Violate any applicable law, regulation, or condominium agreement.
• Upload, store, or transmit unlawful, harmful, or infringing content.
• Interfere with or disrupt the platform, servers, or connected networks.
• Attempt to gain unauthorized access to other user accounts or systems.
• Use the platform to send unsolicited or abusive communications.

5. Content and Data

You retain ownership of any content you submit to Ying Wu. By submitting content, you grant Ying Wu a limited license to use, store, and display that content solely for the purpose of providing the service. We reserve the right to remove content that violates these terms or applicable laws.

6. Data Controller and Processor Roles

For personal data managed within a condominium, the condominium or its administrator acts as the data controller and Ying Wu acts as the data processor, processing such data only on documented instructions. For account data required to operate the platform itself, Ying Wu acts as the data controller. Where required by applicable law, the parties will enter into a separate Data Processing Agreement.

7. Service Availability

We strive to keep Ying Wu available and reliable, but we do not guarantee uninterrupted or error-free operation. The platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned maintenance in advance.

8. Intellectual Property

All rights, title, and interest in and to the Ying Wu platform, including software, designs, logos, and trademarks, are owned by Ying Wu or its licensors. You may not copy, modify, distribute, or create derivative works without our prior written consent.

9. Warranty Disclaimer

The platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Ying Wu disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Ying Wu and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform. Our total liability shall not exceed the amount paid by you, if any, for the service in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Ying Wu and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the platform, your content, or your violation of these terms or applicable law.

12. Termination

We may suspend or terminate your access to Ying Wu at any time, with or without notice, for conduct that we believe violates these terms or is harmful to other users or the platform. You may also delete your account at any time, subject to applicable data retention requirements.

13. Changes to These Terms

We may update these Terms of Service from time to time. When we make material changes, we will update the effective date and notify users as appropriate. Continued use of the platform after changes constitutes acceptance of the revised terms.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Ying Wu operates, without regard to conflict of law principles. Any disputes shall be resolved in the competent courts of that jurisdiction.
